Welcome to SBR Technologies Inc Limited (“SBR Technologies”, “we”, “our”, or “us”). By using our website or engaging with our software development and IT services, you (“Client”, “you”, “your”) agree to comply with and be bound by the following Terms and Conditions.

1. Scope of Services

SBR Technologies provides a broad range of IT services, including but not limited to:

• Custom Software Development
• Web and Mobile Application Development
• UI/UX Design
• Product Consulting
• AI & Automation
• API Governance
• Blockchain
• Cloud & DevOps
• Cybersecurity
• Data & Analytics
• IoT & Edge
• Staff Augmentation
• Maintenance and Support

All services are provided based on a mutually agreed Proposal, Project Agreement, or Statement of Work (SOW).

2. Project Engagement & Delivery

• Project initiation begins upon the Client’s written acceptance of the proposal and receipt of the initial payment.
• Deliverables and timelines are specified in the project documentation.
• Any delays due to Client-related issues (e.g., unresponsiveness, delayed content or access) may affect project timelines.

3. Client Obligations

• Provide accurate, complete, and timely information and access necessary for the project
• Review deliverables and offer constructive feedback
• Appoint a single point of contact to facilitate smooth communication

4. Fees & Payment Terms

• Fees and payment schedules will be outlined in the Proposal or Agreement.
• Payments are typically divided across milestones, please follow the Agreement.
• Invoices are due within 5 days from the date of issue. Late payments may incur interest or a late fee.
• All fees are exclusive of applicable taxes unless otherwise stated.

5. Intellectual Property Rights

• All custom software, code, designs, and documentation created for the Client become the Client’s intellectual property upon full and final payment.
• SBR Technologies retains ownership of any pre-existing assets, tools, frameworks, or reusable code.
• We reserve the right to showcase completed projects in our portfolio, unless explicitly prohibited in writing.

6. Confidentiality

Both parties agree to maintain confidentiality and not disclose any confidential information to third parties without prior written consent. This obligation remains in effect even after termination of the Agreement.

7. Warranty & Disclaimer

• We warrant that the delivered software will perform as specified in the agreed documentation at the time of delivery.
• We are not responsible for issues arising from third-party services, APIs, or changes made post-delivery.
• Except as expressly stated, all services are provided “as-is” without warranties, express or implied.

8. Limitation of Liability

In no event shall SBR Technologies be liable for any indirect, incidental, special, or consequential damages. Our total liability shall not exceed the amount paid by the Client for the specific project or service.

9. Termination

• Either party may terminate the Agreement with 30 days’ written notice.
• Upon termination, the Client is responsible for payment for all work completed and any incurred expenses.
• If the Client terminates the agreement without cause, a cancellation fee may apply.

10. Force Majeure

SBR Technologies shall not be held liable for any delay or failure in performance due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, internet or communication failures, strikes, or governmental actions.

11. Updates to Terms

We reserve the right to update or modify these Terms and Conditions at any time. Updated versions will be published on our website with a revised effective date. Continued use of our services constitutes acceptance of any changes.
